Seller Terms of Service

  1. Introduction
    This Terms of Service agreement ("Agreement") is entered into between Ringside Cartel ("Service Provider," "We," or "Us") and the individual ("Wrestler," "You," or "Individual") engaging with our platform. Our business provides a platform for Wrestlers to sell custom-designed products, such as T-shirts and hoodies ("Products"), through our website. Manufacturing is outsourced to a third-party print-on-demand service ("Manufacturer"). By using our services, You agree to be bound by this Agreement.

  2. Setup Costs and Monthly Fees

    • Setup Fee: A one-time, non-refundable setup fee of $25.40 + GST is required to establish Your account and initiate services.

    • Monthly Fee: You agree to pay an account fee of $15.40 + GST per month. This fee is ongoing, billed monthly, and can increase at any time without notice. However, notice will be given in good faith via email.

    • Account Setup Requirements: To complete Your account setup, You are required to provide:

      • Your Real Name

      • Your Wrestler Name

      • Your Phone Number and Email

      • Your ABN (if applicable)

      • At least one Merch Design for listing

      • A well-lit, high-quality promotional image for Your profile

      • Your social media handles

      • A list of companies You regularly wrestle for

  3. Royalties and Payments

    • Royalties from the sales of Your Products will be distributed on the 1st day of every month.

    • Payments will be made to the bank accounts provided upon signing up.

    • A detailed sales report, including a financial breakdown of the sales and royalties earned, will be provided to You at the time of distribution.

    • We will deduct a 12.5% processing fee from the profits above the base rate to cover the costs associated with processing orders and payments.

  4. Product Pricing and Base Rates

    • Base Rate: Each product will have a base price that covers the cost of manufacturing, accounting, and royalties. The base rate is non-negotiable and ensures that costs are covered.

    • Price Adjustment: You may choose to increase the price above the base rate to set Your desired profit margin, but You cannot decrease it below the base rate.

    • Base Rate Adjustments: If the Manufacturer increases production costs, We reserve the right to adjust the base rate accordingly. You will be notified of any changes and how they affect product pricing and royalties as soon as We are made aware.

  5. Intellectual Property and Design Submissions

    • All designs submitted for printing must be Your Intellectual Property or designs for which You have appropriate rights. Designs will be subject to Our approval before being added to the platform.

    • Design Restrictions: Designs must not contain:

      • Vulgar language, including swearing or hate speech.

      • Content that incites violence or portrays excessive gore.

      • Any content that violates trademarks, copyrights, or other intellectual property rights.

      • Material that violates any third-party service terms We operate with (including but not limited to prohibiting inappropriate or illegal content, adult material, or illegal substances).

    • Print Requirements:

      • PNG and SVG file types supported

      • Maximum 100 MB (PNG) or 20 MB (SVG)

      • Print area size: 4682 × 5291 px (300 DPI)

      • Maximum resolution: 30000 x 30000 px

  6. Termination, Non-Payment, and Refunds

    • Direct Debit Payments: All payments will be collected via direct debit. You are entering into a 12-month agreement, and regardless of any attempt to cancel the direct debit before the end of this term, You will still owe the remaining balance for the contract period.

    • Dishonor Fee: If You cancel Your direct debit before the 12-month period is completed, a dishonor fee of $25 will be added to the outstanding amount for administration costs.

    • Service Provider’s Right to Terminate: We reserve the right to terminate Your account if You breach any terms of this Agreement, including but not limited to intellectual property violations, content guideline violations, failure to make timely payments, or if Your real-life behavior does not reflect the moral principles of Ringside Cartel. Termination may occur if Your behavior has the potential to negatively impact the reputation and/or social credit scores of Ringside Cartel or its Moderators.

  7. Platform Closure
    In the event that We decide to close down the platform for any reason, You will receive email notification regarding the closure.
    All outstanding royalties will still be paid out as per the regular royalty distribution schedule, and You will be provided with a final sales report detailing any remaining earnings and all remaining contracts and the associated costs owed to Ringside Cartel will be forfeited.

  8. Changes to the Terms
    We reserve the right to modify this Agreement at any time. Any changes will be communicated to You via email or through the platform. By continuing to use the service after the changes take effect, You agree to be bound by the revised Agreement.

  9. Limitation of Liability
    We are not responsible for any delays or issues arising from the Manufacturer's production process or shipping. Our liability is limited to providing the platform and facilitating the sale and distribution of Products. We are not liable for any indirect or consequential damages.
    We are also not responsible for any errors in information that has been provided by the Sellers/Wrestlers.

  10. Dispute Resolution
    Any disputes arising under this Agreement shall be resolved in accordance with the laws of Australia, and the parties agree to submit to the jurisdiction of New South Wales for any disputes.

  11. Privacy and Data Protection
    By using Our platform, You agree to Our privacy policy regarding the collection and use of Your data. We will collect only the data necessary to process orders and payments and to comply with legal requirements.

By setting up an account with Ringside Cartel, You confirm that You have read and agree to these Terms of Service.
